4. Client Responsibilities

5. Intellectual Property Ownership

(a) Published Content: All content created by Agency and approved and published during the term of this Agreement ("Published Content") shall be owned by Client upon receipt of full payment for the retainer period in which the content was created.

(b) Unpublished Work: Content created but not approved and published as of the termination date remains Agency's property unless Client pays for such work within ___ days of termination.

(c) Agency IP: Agency's pre-existing intellectual property, including proprietary templates, workflows, AI tools, and creative frameworks ("Agency IP"), remains Agency's exclusive property. Client receives no rights to Agency IP.

(d) Platform Assets: Social media profiles, ad accounts, email lists, and analytics accounts built or managed under this Agreement are Client's property. Agency shall transfer access within ___ business days of termination.

(c) Both parties agree not to make disparaging public statements about the other party during or after the engagement.

7. Termination and Transition

(a) Initial Term: This Agreement is effective for ___ months from the start date.
